ATEK Incheon Association Bylaws

Article I — Mission

The mission of the Incheon Association for Teachers of English in Korea shall be to support the goals and mission of the Association for Teachers of English in Korea (hereafter referred to as the “National Association,” through our local organization.

Article II – Nature of Entity

The Association is hereby established in the Republic of Korea and all relevant jurisdictions as a local office of the Association for Teachers of English in Korea.

Article III – Relationship with National Association

1. This Association is bound to all decisions, policies, and rules of the National Association, as executed by its Council and/or Board of Directors.

Article IV — Membership

1. To become a member of Incheon Association, one must first (or simultaneously) become a General or Associate Member of the National Association.

Article V — Bill of Rights for Members

1. All General Members of the Incheon Association shall have the right to vote, to hold office, and to secure fair consideration for governance appointment in the Incheon Association. Voting in any Incheon Association election may be done either in person (at a scheduled Association meeting), by mail, or by electronic means.

2. All members shall be treated with respect and without discrimination on the basis of race, national or ethnic origin, religion, gender, gender identity or sexual orientation, age, mental or physical disability, or social background. This does not preclude the Association from fulfilling its obligation to carry out activities or programs that have as their goal the amelioration of conditions that may restrict Members from full participation in the Association or its activities and programs.

3. Any individual Member or group of individual Members who believe their rights as Members of the Incheon Association, as specified in this Article, or any other rights, have been abridged by actions taken by an element of the Incheon Association's governance structure may seek such remedies locally, by contacting the Incheon Association President, or may seek remedies as may be provided by the National Association under procedures established by the Council of Representatives.

4. Those wishing to join the National Association and the Incheon Association simultaneously may present copies of their credentials to the Incheon Association Membership Coordinator.

Article VI — Executive Board

1. The Executive Board shall consist of the Chairperson, the Vice Chairperson, and four representatives to the Council of the National Association. Members shall serve for terms of not less than 6 months. All members of the Executive Board shall serve until their successors are elected and qualify.

2. The Executive Board shall conduct its day-to-day business online, but in-person meetings shall be held quarterly at a time and place to be specified by a vote of the Executive Board. The Executive Board shall also establish mechanisms to provide continuing and prompt attention to such problems as may arise. A quorum at any in-person meeting shall require 75% of its officers present, and an online vote shall require a simple majority (51%) of its entire membership.

3. The Executive Board will establish its own procedures for decision making. In the absence of such procedures, or in situations not covered by existing procedures, decisions will be by majority, with the President only voting to break ties.

4. In the case of disability, resignation, or removal of a member of the Executive Board, a successor shall be elected by the General Membership of the Incheon Association.

5. The Executive Board shall administrative agent of the Incheon Association and shall exercise general supervision over the affairs of the Incheon Association. The Executive Board shall have authority to take such actions as are necessary for the conduct of the Association's affairs in accordance with this governing document and the policies of Council.

Article VII. — Officers

1. The officers of the Association shall be as follows: a Chairperson, a Vice Chairperson, an Adult Education Representative, a Public School Representative, a Hagwon Representative, and an Non-employment Visa (i.e. F-visa) Representative. They shall hold office until their successors are elected and qualify.

2. The Chairperson shall be a General Member of the Incheon Association, elected by the General Membership. During the term of office, the Chairperson shall serve as presiding officer of the Incheon Association and the Executive Board. The Chairperson shall perform such other duties as are prescribed in this governing document, the governing document(s) of the National Association, as are incident to the office, or as may properly be required of the Chairperson by vote of the Incheon Association General Membership. The Chairperson may not serve concurrently in any Commission or hold any other position or office within the National Association during his or her term as Chairperson of the Incheon Association.

3. The Vice Chairperson shall be a Provincial/Metropolitan Representative, elected by Council, and shall take office on the first of the month following his/her election. During the term of office, the Vice-Chairperson shall serve as presiding officer of the Association, the Board of Directors, and Council in the absence of the Chairperson. During the term of office, the Vice Chairperson shall serve as secretary of the Incheon Association and shall perform such other duties as may be prescribed in this governing document. It shall be the duty of the Vice Chairperson to keep, file, and hold (subject to call) the records of all business meetings of the General Membership and Executive Board.

4. In the event that the Chairperson shall not serve out a term for any reason, the Vice Chairperson shall succeed to the unexpired remainder thereof, and a new Vice Chairperson shall be elected by the Incheon Association General Membership from among its members.

5. In the event that the Vice Chairperson shall not be able to serve out a term, the a new Vice Chairperson shall be elected by the Incheon Association General Membership from among its members.

6. The Adult Education Representative shall represent the interests and concerns of members employed at institutions that primarily teach English to adults, including (but not limited) universities, government institutions, corporations, and private academies (hagwons) for adult education. The Adult Education Representative is entitled to all rights, privileges, and responsibilities assigned to him or her as a member of the Council of the National Association.

7. The Public School Representative shall represent the interests and concerns of members employed at primary and secondary public schools. The Public School Representative is entitled to all rights, privileges, and responsibilities assigned to him or her as a member of the Council of the National Association.

8. The Hagwon Representative shall represent the interests and concerns of members employed at private academies (hagwons) that educate children. The Hagwon Representative is entitled to all rights, privileges, and responsibilities granted him or her as a member of the Council of the National Association.

9. The Non-employment (F) Visa Representative shall represent the interests and concerns of members sojourning in the Republic of Korea under an F-class visa. The F-visa Representative is entitled to all rights, privileges, and responsibilities granted him or her as a member of the Council of the National Association.

10. If it appears that the best interest of the Incheon Association is not being served, any officer may be removed from office before the expiration of his/her term by a unanimous vote of the other members of the Executive Board, followed by a confirming majority vote of the General Members at the next meeting. If a motion to remove an officer is brought directly by a General Member, it does not require a vote of the Executive Board, but must receive a two-thirds majority vote of the General Members.
